GENERAL CONDITIONS

Article 1: Applicability
1.1 These terms and conditions apply to all offers made by Leijenaar B.V. and to all agreements concluded with Leijenaar B.V.
1.2 Deviations from these terms are only valid if agreed in writing and then only for the specific transaction in question.
1.3 The purchaser's general terms and conditions apply only if and to the extent that they do not conflict with Leijenaar B.V.'s General Terms and Conditions and are accepted in writing by Leijenaar B.V.

Article 2: Offers, Confirmations, and Prices
2.1 All offers and quotations are non-binding unless explicitly stated otherwise by Leijenaar B.V.
2.2 Any data provided with an offer, such as brochures, price lists, etc., are as accurate as possible but are only binding for Leijenaar B.V. if expressly confirmed in writing.
2.3 Shipping costs are only charged for orders below €340.00 net, for deliveries within the Netherlands.
2.4 Invoices below €34.00 net will be increased by €7.00 in administration costs.
2.5 Unless explicitly stated otherwise, the quoted prices do not include insurance. Goods are transported at the purchaser’s risk.
2.6 If the purchaser is located abroad and the goods are to be exported from the Netherlands for delivery, the purchaser guarantees that they are properly registered for applicable VAT in the relevant country. The purchaser indemnifies Leijenaar B.V. against damages resulting from invoices incorrectly issued with zero VAT.

Article 3: Delivery and Delivery Times
3.1 Unless otherwise agreed, all deliveries are deemed to take place from the warehouse of Leijenaar B.V. The sold goods are at the purchaser’s expense and risk from the moment the agreement is concluded.
Risk during transport from the warehouse of Leijenaar B.V. or elsewhere is the responsibility of the purchaser, even if delivery is carriage paid.
3.2 Stated delivery times are always approximate and can never be considered as deadlines. In the event of a delivery delay, Leijenaar B.V. must always be given written notice of default and a reasonable period to still fulfill its obligations.
3.3 Leijenaar B.V. reserves the right to deliver ordered goods in partial shipments.

Article 4: Payment Terms
4.1 Payments must be made within 30 days of the invoice date, unless otherwise agreed in writing. Orders may be delivered cash on delivery without providing reasons.
4.2 If the purchaser fails to pay according to the agreement, Leijenaar B.V. is entitled to increase the claim with 1.5% interest per month—or the statutory interest if higher—starting 30 days after the invoice or agreed payment date. If the purchaser remains in default, Leijenaar B.V. is also entitled to increase the amount owed with collection costs.

Article 5: Retention of Title
5.1 Leijenaar B.V. retains ownership of goods delivered or to be delivered until the claim regarding the consideration has been paid in full.
5.2 If the purchaser fails to fulfill any obligation under the agreement related to the sold goods or work performed, Leijenaar B.V. is entitled, without notice of default, to reclaim the goods, including any newly formed goods. The purchaser authorizes Leijenaar B.V. or its designated representatives to enter the premises where these goods are located.

Article 6: Complaints / Returns
6.1 Goods are guaranteed to be sound and functional at the time of delivery. Defects and damage claims after usage of the items will not be honored.
6.2 Any complaints—regarding deliveries, work performed, or invoices—must be submitted in writing within 8 days of shipment.
6.3 Returns are only accepted with our prior approval.
6.4 Right of return for consumer purchases via the webshop:
If the item does not meet your expectations, you may return it within 14 days of the delivery date. The return form is included with your order and may be used if desired. We ask that you enclose the completed return form with the return shipment and clearly indicate whether you would like a refund.
Return shipping costs are at your own expense. The return shipping cost with PostNL is approximately €6.95 per parcel. Once you return the order or have notified us of the return, you will receive a refund as soon as possible and no later than 14 calendar days. We can only issue a refund once we have received the returned package or you provide proof that it has been returned.
If your order is returned damaged, we regret that we cannot issue a full refund.

Article 7: Warranty
7.1 For goods with a manufacturer’s warranty, only the warranty conditions set by the manufacturer apply. In all other cases, Leijenaar B.V. does not provide a warranty.
7.2 The warranty does not apply to defects caused by normal wear and tear, careless or improper use, accidents or calamities such as fire or water damage, or if the items have been modified or repaired by third parties.
7.3 The warranty only applies if the purchaser has fulfilled all obligations to Leijenaar B.V.
7.4 Repairs outside the scope of this warranty will be charged by Leijenaar B.V.

Article 8: Applicable Law and Jurisdiction
8.1 All agreements concluded with Leijenaar B.V. are subject exclusively to Dutch law, with due regard for these terms and conditions.
8.2 The applicability of the Uniform Law on the International Sale of Goods and the Vienna Sales Convention is expressly excluded.
8.3 All disputes arising from agreements with Leijenaar B.V., or any resulting agreements or offers made by Leijenaar B.V., shall be submitted exclusively to the competent court in Hilversum, unless Leijenaar B.V. prefers a different court.
